The rapid integration of Generative AI (GenAI) into the corporate workflow has created a fundamental friction between the drive for algorithmic innovation and the non-negotiable requirements of data sovereignty. As organizations increasingly rely on Large Language Models (LLMs) to process proprietary and sensitive data, they face an escalating risk profile characterized by "Shadow AI"-the unauthorized use of public, third-party AI platforms that leak intellectual property across international borders. This article provides a comprehensive Governance, Risk, and Compliance (GRC) perspective on the transition toward Sovereign AI Clouds.

The study begins by analyzing the conflict between the centralized nature of dominant AI hyperscalers and the decentralized requirements of local data protection laws, such as the GDPR and Tunisia’s Organic Law No. 2004-63. We examine the technical and legal implications of the "Sovereign AI Framework," which advocates for the deployment of localized, private AI stacks that ensure data residency and processing occur strictly within national or regional jurisdictions.

Furthermore, the research provides a detailed Compliance Mapping exercise, aligning AI operationalization with established frameworks like ISO/IEC 27001 and the emerging ISO/IEC 42001 (AI Management System). We evaluate how specialized GRC strategies-such as differential privacy and federated learning-can mitigate the risks inherent in training and fine-tuning local models. On the other side, an increasingly fragmented regulatory environment-defined by a "sovereignty-first" approach to data-is imposing strict limitations on where data can travel and who can process it. This tension is the defining challenge of the "Sovereign AI" era.

The Hyperscaler Paradox

Most of the current "frontier" Large Language Models (LLMs) are hosted in a handful of centralized jurisdictions, primarily within the United States. For an organization in the European Union governed by GDPR, or a public entity in Tunisia governed by the National Authority for Protection of Personal Data (INPDP), sending sensitive citizen or corporate data to these centralized clouds creates a massive compliance gap. The "Hyperscaler Paradox" lies in the fact that the most powerful tools for innovation are often the most problematic from a sovereignty perspective. If a model processes data in a jurisdiction that does not have an "adequacy decision" or a reciprocal data protection agreement, the organization is effectively in breach of the law the moment they click "submit" on a prompt.
